Hengeler Mueller advises Vitesco Technologies on merger into Schaeffler

Vitesco Technologies Group AG entered into an agreement with Schaeffler AG on March 13, 2024, to merge Vitesco Technologies into Schaeffler. The respective Supervisory Boards had previously approved the transaction.

The effectiveness of the merger agreement is subject to the approval of the Annual General Meetings of both companies, followed by the subsequent registration in the respective commercial registers.

Vitesco Technologies is a leading international developer and manufacturer of state-of-the-art powertrain technologies for sustainable mobility.

Hengeler Mueller advises the management board of Vitesco Technologies comprehensively on the business combination with Schaeffler and in particular on the conclusion of the merger agreement as well as on the preparation and execution of the Annual General Meeting of Vitesco Technologies on April 24, 2024, which will decide on the approval of the merger agreement.
